TERMS OF SERVICE

These Terms of Service (“Terms”) govern access to and use of the Faastech platform, applications, APIs, and related services (the “Platform”).

By accessing or using the Platform, you agree to be bound by these Terms.

1. Scope and Purpose of the Platform

Faastech provides a software-as-a-service (SaaS) platform designed to support Device-as-a-Service (DaaS), financing, lifecycle, billing, and trade-in workflows.

The Platform enables interaction between independent third parties, including vendors, customers, financing partners, trade-in partners, and other service providers.

Faastech provides technology only and does not provide financial services, leasing, lending, brokerage, advisory, asset ownership, resale, or trade-in services.

2. Platform-Only Role / No Transaction Liability

Faastech acts solely as a neutral technology provider.

Faastech is not a party to any commercial, leasing, financing, payment, subscription, trade-in, refurbishment, resale, or service transaction conducted through the Platform.

All transactions occur exclusively between one or more of the following parties:
• Vendors and suppliers
• Customers and end users
• Financing partners, banks, or leasing providers
• Trade-in, refurbishment, recycling, or resale partners
• Other third-party service providers

Faastech assumes no responsibility or liability for:
• Contract terms or agreements between parties
• Pricing, interest rates, residual values, or credit decisions
• Asset delivery, condition, performance, or defects
• Billing, payments, settlement, or reconciliation
• Trade-in valuation, refurbishment, recycling, or resale outcomes
• Regulatory, tax, accounting, or compliance obligations of any party

If the Platform is unavailable for any reason, transactions may be delayed. Faastech bears no liability for losses resulting from such delays.

3. No SLA / Availability Disclaimer

Faastech currently operates without a formal service level agreement (pre-SLA mode).

The Platform is provided on an “as is” and “as available” basis, without guarantees of uptime, availability, performance, or continuity.

Faastech does not guarantee that:
• The Platform will be uninterrupted or error-free
• Data will be available at all times
• Processing will occur within any specific timeframe

Users acknowledge that temporary unavailability may occur, and agree to wait until service is restored.

4. Service Availability & Maintenance

Faastech operates the Services on a commercially reasonable efforts basis using managed cloud infrastructure.

Faastech targets a monthly availability of 99.5%, excluding planned maintenance and circumstances beyond Faastech’s reasonable control. This availability target is provided for informational purposes only and does not constitute a service level agreement (SLA).

Faastech may perform scheduled maintenance from time to time and will use reasonable efforts to provide advance notice where practicable.

Faastech shall not be liable for any losses arising from service unavailability, interruptions, delays, or errors.

5. User Responsibilities

Each user is responsible for:
• Ensuring accuracy of all data entered into the Platform
• Complying with applicable laws, regulations, and contractual obligations
• Maintaining internal controls, approvals, and documentation
• Using the Platform only for lawful purposes

Users remain fully responsible for their own:
• Customer relationships
• Vendor agreements
• Financing agreements
• Trade-in and resale arrangements

6. No Financial, Legal, or Tax Advice

Nothing on the Platform constitutes financial, legal, accounting, tax, or investment advice.

All decisions regarding financing, leasing, pricing, tax treatment, accounting (including IFRS, US GAAP, or other standards), and regulatory compliance are the sole responsibility of the relevant parties.

7. Intellectual Property

All software, source code, architecture, workflows, designs, interfaces, documentation, and platform functionality are the exclusive intellectual property of Faastech AS or its licensors.

Users receive a limited, non-exclusive, non-transferable right to use the Platform for its intended purpose.

No rights are granted to copy, modify, reverse engineer, or reuse any part of the Platform.

8. Data and Confidentiality

Users retain ownership of their own data.

Faastech may process data solely to operate and improve the Platform, in accordance with applicable data protection laws and the Privacy Policy.

Each party is responsible for ensuring it has lawful grounds to upload and process any data it provides.

9. Limitation of Liability

To the maximum extent permitted by law:
• Faastech shall not be liable for indirect, incidental, consequential, or economic losses
• Faastech’s total liability, if any, shall be limited to amounts actually paid by the user to Faastech for Platform access during the preceding 12 months

This limitation applies regardless of cause, including system downtime or data delays.

10. Indemnification

Users agree to indemnify and hold harmless Faastech from any claims, damages, losses, or liabilities arising from:
• Their use of the Platform
• Their contractual relationships with third parties
• Their regulatory or compliance obligations

11. Termination

Faastech may suspend or terminate access at any time if:
• These Terms are violated
• Platform integrity or security is at risk
• Required by law or regulation

Termination does not affect obligations already incurred between third parties.

12. Governing Law

These Terms are governed by the laws of Norway, without regard to conflict of law principles.

13. Changes to These Terms

Faastech may update these Terms from time to time.

Continued use of the Platform constitutes acceptance of updated Terms.
